Your area of work:
The Regulatory Governance section is responsible for the management of board and committee meetings and organizes corporate governance processes within Pre- and Post-Trading. In your new role, you will be in charge of the full preparation of selected boards and committees of Clearstream Entities. By acting as capable contact person for the top management as well as for functional entities you will ensure the efficient handling of corporate governance topics. This full-time role will be an excellent opportunity for someone with relevant company secretarial experience.
Your responsibilities:
You will perform the holistic organisation and management of board meetings, committee meetings and statutory meetings
You will be responsible for drafting minutes of various meeting and follow-up on action points
You will coordinate shareholders’ meetings and maintain shareholders’ registers
You will draft board resolutions and manage the execution with the boards
You will provide general advisory support of the management and functional entities in compliance with regulatory, statutory, and legal requirements
You will handle legal filing at the Luxembourg Business Register
You will coordinate the legalization, notarization and apostille processes
Your profile:
You have completed your univrsity degree in business, economics, law, finance or a related field.
You have at least 2 years of relevant professional experience in corporate governance or in a legal position
You are proficient in written and spoken English; French or German language skills will be an asset
You have good communication skills, are assertive and have the ability multi-task in a fast-paced environment
You have a strong focus on details, are well organized and proactive
You are a team player who can also work autonomously and with tight deadlines
Company Secretarial qualifications would be considered a plus (ILA or ICSA)
